INA Wälzlager Schaeffler KG, principalul membru al Grupului Schaeffler, compus din INA, FAG si LUK, a fost infiintata in 1946, in orasul german Herzogenaurach. Primele produse au fost din lemn, dupa care, la inceputul anilor ´50, s-au realizat primii rulmenti cu ace. EU Commission Approves Takeover of Continental by Schaeffler

The EU Commission has granted its approval of the takeover of Continental AG, Hanover/Germany, by the Schaeffler Group. The Schaeffler Group will now conclude the takeover without delay. Schaeffler will pay 75.00 euros per share to the depositary banks of those shareholders who have tendered their shares to Schaeffler, on or around January 8, 2009. The depositary banks will then credit these payments to the shareholders’ accounts.

“The takeover of Continental AG is a decision of far-reaching strategic importance for the Schaeffler Group. With Schaeffler and Continental we’re bringing together two excellently positioned German technology leaders. This merger will create one of the most successful global automotive suppliers with outstanding expertise in the high-growth fields of energy efficiency and alternative powertrain systems. It is our target to spearhead the global market,” emphasized Dr. Jürgen M. Geissinger, Schaeffler Group President & CEO.

“The difficult current market situation shows that it was the right decision to bring together two leading international automotive suppliers. In view of the massive changes in our environment it is necessary to rapidly combine the strengths of both companies in the automotive sector and to exploit synergies resulting from new products, processes and in the purchasing sector without delay. This is the order of the day and we have to comply with it to be able to emerge from the crisis with clearly renewed strength and develop joint performance capacity in order to create new, future-proof products and solutions,” said Dr. Geissinger.

Joint teams are to be established as soon as the takeover has been concluded: “Power struggles don’t make any sense now. We want to get down to work. In these difficult times, in the interest of both companies and their employees it is vital to fully concentrate on business matters. The staff at Schaeffler are looking forward to the collaboration,” said Dr. Geissinger.

“We are absolutely convinced that the automotive industry has a positive future and we want to take an active part in shaping this future. Individual mobility will offer huge potential for growth worldwide for many decades to come. By joining forces, both companies will have an excellent basis to provide answers to these challenges: Together Schaeffler and Continental will develop systems for reduced fuel consumption.

For future powertrain technologies, too, the potentials for joint developments are clearly recognizable. Currently Schaeffer is, for instance, developing electric motors and mechanical systems for wheel hub engines of the future. Continental is working on the hardware and software for the control system. Joint development efforts can raise the interplay between hard- and software and the mechanical system up to a new level. This will result in the creation of next-generation powertrain systems that are cost efficient and environmentally friendly and offer high energy efficiency.

The shares tendered for sale can be traded up until January 2, 2009.
